Centrica plc (Centrica) announced on Wednesday 8 December 2021 the proposed sale of Spirit Energy Group’s Norwegian oil and gas exploration and production business, excluding the Statfjord field to Sval Energi AS (“Sval”) and its interests in the Statfjord field to subsidiaries of Equinor ASA (“Equinor”) (the “Sale Business and Interests”).

The Transaction constituted a Class 1 transaction for Centrica under the Listing Rules and completion of the Transaction therefore required approval of Centrica's shareholders at a general meeting of the Company's shareholders. The General Meeting was held at Heathrow/Windsor Marriott Hotel, Dilton Road, Langley, Slough, SL3 8PT at 9am on 13 January 2022.

Shareholders’ views remain important to us. Therefore, Shareholders were strongly encouraged to exercise their votes by submitting their proxy forms either electronically or by post. 

Shareholders were invited to submit any questions in advance of the meeting where all questions were read and responded to appropriately during the meeting or where relevant, answers will be published on our website post the meeting.

In addition, Shareholders and their duly appointed representatives and/or proxies were able to participate remotely via live webcast.
